1. Introduction
These Terms and Conditions (the “Terms”) govern your access to and use of the services provided by IRONBIT Spółka z ograniczoną odpowiedzialnością (hereinafter “IRONBIT”, “we”, “us”, or “our”), a company incorporated under the laws of the Republic of Poland (KRS: 0001013919, NIP: 5252939713, REGON: 524214646), with its registered office at ul. Żurawia 6, lok. 12, 00-503 Warszawa, Poland.
By accessing or using our website, platform, services or applications (collectively the “Service”), you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms, you must stop using the Service immediately.
These Terms apply to all users, visitors and customers who access or use the Service.
2. Scope of the Service
IRONBIT provides a platform and related services which enable users to buy, sell and exchange virtual assets (cryptocurrencies) against fiat currency and vice versa, subject to applicable law and these Terms. The exact set of services available to you may vary depending on your jurisdiction and the regulatory requirements applicable from time to time.
IRONBIT does not provide custody services for long-term storage of customer funds; the Service is an execution platform for exchange transactions only, unless expressly stated otherwise in a separate written agreement.
3. Eligibility
3.1. You represent and warrant that:
- you are at least 18 years old (or the age of majority in your jurisdiction);
- you have legal capacity to enter into binding contracts;
- you are not a person located in or subject to the laws of any jurisdiction in which use of the Service would be prohibited by applicable law or regulation; and
- you will comply with all applicable laws, regulations and these Terms.
3.2. If you act on behalf of a legal entity, you confirm that you have the authority to bind that entity to these Terms.
4. Restricted / Non-Serviced Jurisdictions
The Service may not be available to users located in certain jurisdictions. We maintain a list of non-serviced countries and territories which may be updated from time to time. You must not use the Service if local laws prohibit the use of such services.
IRONBIT reserves the right to restrict access to the Service or to certain features of the Service for users from particular jurisdictions.
5. Registration and Account
5.1.To use the Service you must register for an account and provide accurate, up-to-date information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
5.2. Only one account per natural person is permitted. Multiple accounts may be suspended or closed.
5.3. You agree to promptly update any information you provide to IRONBIT to keep it accurate and complete.
5.4. An Order is considered completed when:
6. Verification and KYC/AML
6.1 IRONBIT applies Know-Your-Customer (KYC), Anti-Money Laundering (AML) and sanctions screening procedures. You must provide all information and documents reasonably required to verify your identity and to comply with applicable legal and regulatory obligations.
6.2 Verification may include identity documents (e.g., passport, national ID), proof of address, liveness checks and such other information as required. Records of identity verification will be retained in accordance with our Privacy Policy and record-keeping requirements.
6.3 Until verification is completed, your access to certain services or transaction limits may be restricted.
7. Payments and Third-Party Payment Providers
7.1 Payments must be made from accounts/cards that bear the name that matches the account registered with IRONBIT. Payments from third parties are prohibited unless expressly agreed.
7.2 IRONBIT does not store payment card data. Where card payments are used, card processing is handled by third-party payment processors and your card details are subject to their security and privacy practices.
7.3 We may support a range of payment methods (bank transfers, card providers, e-wallets); available methods are displayed on the Service and may change over time.
8. Fees, Rates and Charges
8.1 Use of the Service may be subject to fees, margins and network fees. Fees may vary depending on payment method, asset type and market conditions. Current fees are displayed on the Service.
8.2 Fees may be changed by IRONBIT at any time. Changes will apply to new transactions only.
8.3 Network fees required to process blockchain transactions are borne by the user, unless otherwise stated.
9. Order Execution, processing times and refunds
9.1 We aim to process transactions promptly. Typical execution timeframes and any applicable processing SLA(s) are specified on the Service, but actual processing times may vary.
9.2 If a transaction is not processed within the time indicated, and no request for additional information has been made, you may be eligible to request a reversal or refund in accordance with our Refund Policy.
9.3 Refunds will generally be made using the same payment method used for the original transaction, subject to applicable checks and verification. Processing times for refunds depend on the payment provider and may take several business days.
10. Cancellations and Failed Payments
10.1 Transactions may be cancelled before being marked as completed. If cancellation is possible, the Service will provide the relevant option.
10.2 If a payment is reversed by your bank/payment provider or otherwise fails, IRONBIT may suspend or cancel the related transaction and cooperate with the payment provider and/or exchange partners to resolve the matter. Where funds have been passed to an exchange partner and cannot be recovered, IRONBIT’s liability may be limited.
11. Third-Party Providers and Exchange Partners
11.1 The Service may interface with third-party exchange partners, payment service providers, liquidity providers and other third parties. These providers are independent, and IRONBIT is not responsible for their services, content, or performance.
11.2 Transactions executed via or through third-party partners may be subject to partner terms and policies. You assume the risks inherent to transacting via third-party services.
11.3 IRONBIT does not endorse any third-party product or service and disclaims liability for losses arising from third-party defaults or malperformance except to the extent required by applicable law.
12. Prohibited Conduct
12.1 You must not:
- use the Service for illegal purposes or to facilitate unlawful behaviour;
- provide false or misleading information;
- attempt to manipulate transaction systems or exploit vulnerabilities;
- infringe others’ rights, including intellectual property or privacy rights;
- operate multiple accounts to circumvent controls; or
- transfer funds or crypto on behalf of third parties (unless explicitly authorised).
12.2 IRONBIT reserves the right to suspend or terminate accounts suspected of violating these Terms or applicable law.
13. Risk Disclosure & Assumption of Risk
13.1 Virtual assets are subject to high volatility. Prices may fluctuate rapidly. IRONBIT does not guarantee any specific investment outcomes and is not responsible for market losses.
13.2 You are responsible for ensuring the accuracy of wallet addresses and transaction details. Transactions sent to incorrect addresses are irreversible; IRONBIT is not liable for such user errors.
14. Intellectual Property
All content, logos, trademarks and materials on the Service are the property of IRONBIT or its licensors. You may not copy, reproduce, modify or distribute any proprietary content without prior written consent.
15. Data Protection and Privacy
15.1 Processing of personal data is governed by our Privacy Policy and any supplementary Processing of Personal Data document. By using the Service you consent to the collection and processing of your personal data as described in those policies.
15.2 We retain KYC and transaction records in accordance with applicable law and regulatory requirements.
16. Liability Limitation
To the extent permitted by applicable law, IRONBIT and its officers, employees and affiliates shall not be liable for indirect, special, incidental, consequential or punitive damages, loss of profits, loss of business opportunity, or loss of data arising from the use of the Service.
Our maximum aggregate liability for direct losses arising from gross negligence or willful misconduct is limited to the amount of fees paid by you to IRONBIT in the 12 months preceding the event giving rise to the claim, except where a greater liability is imposed by applicable law.
17. Sanctions and Compliance
IRONBIT complies with applicable sanctions, export control and anti-money laundering obligations. We may refuse to provide services to sanctioned persons or entities or where a transaction would breach applicable sanctions regimes.
18. Termination and Suspension
IRONBIT may suspend, limit or terminate your access to the Service, without prior notice, in case of suspected fraud, unlawful activity, breach of these Terms or upon instructions from competent authorities.
Termination does not affect accrued rights and obligations arising prior to termination.
19. Amendments to the Terms
IRONBIT reserves the right to amend these Terms at any time. We will publish updated Terms on the Service and, where required, notify users by the contact details provided. Continued use of the Service after amendments constitutes acceptance of the updated Terms.
20. Complaints, Dispute Resolution and Governing Law
20.1 If you have complaints or disputes, please contact us at
info@ironbit.net (or the contact channel specified on the Service). We will attempt to resolve complaints directly within a reasonable time frame.
20.2 These Terms are governed by the laws of the Republic of Poland. Disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Poland, unless otherwise required by mandatory law.
21. Miscellaneous
21.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21.2 Headings are for convenience only and do not affect interpretation.
